NO PURCHASE OR ENTRY FEE NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID WHERE PROHIBITED BY LAW.  ANY DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BEING CLAIMS IN A CLASS ACTION FORMAT.  READ RULES CAREFULLY BEFORE ENTERING AS THEY SET FORTH DETAILS ABOUT CONTEST WINNERS ASSIGNING ALL RIGHTS TO SPONSOR AND AFFILIATE ENTITIES.

BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE CONTEST, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE CONTEST PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

The Chubbies® League on NFL Fantasy (the “Contest”) is a game of skill where you compete against other users to win prizes based on your knowledge and skill in assembling and managing a fantasy football team (your “Team”).  All capitalized terms used but not defined herein shall have the meanings determined by NFL Enterprises LLC (“NFL Fantasy Football”).

1. ELIGIBILITY:

The Contest is open only to legal residents of the 50 United States and the District of Columbia (with restrictions applying where necessary pursuant to applicable law) who (i) are at least 18 years of age at the time of Contest registration; (ii) can enter into legally binding contracts under applicable law; (iii) are not associated with a professional athlete or professional sports team featured in the Contest in a way which creates, or could create, an unfair advantage in the Contest; (iv) and are or become registered users of NFL Fantasy Football with validly existing NFL Accounts (collectively, the “Eligibility Requirements”). The terms and conditions established by NFL Fantasy Football, as the same may change from time to time, govern the validity of all NFL Accounts.  If you do not satisfy the Eligibility Requirements, in their entirety, you may not access the Contest. Solo Brands, Inc., Chubbies, Inc. (“Sponsor”), Fantasy Football, the National Football League (the “NFL”) the NFL's professional member clubs, and each of their respective parent companies, affiliates, and subsidiaries shall be referred to herein as the "Contest Parties". By participating in the Contest, you release, discharge and hold harmless the Contest Parties, their respective parents, affiliates, subsidiaries, retailers, advertising and promotion agencies and the respective officers, directors, employees and agents of each of the foregoing, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Contest or any portion thereof, or the acceptance, use/misuse or possession of any prize, including related travel or other activities. By participating, you agree to these Official Rules and to the decisions of NFL Fantasy Football and Sponsor, which are final and binding in all respects. Void where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply. WITHOUT LIMITING THE FOREGOING, AND WITHOUT EXCEPTION, ALL PROSPECTIVE ENTRANTS ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ENSURING THAT PARTICIPATION IN THE CONTEST IS NOT PROHIBITED BY ANY LAW APPLICABLE TO THAT ENTRANT’S JURISDICTION OF RESIDENCE. 

2. TIMING:

The Contest begins at 12:00 a.m. Eastern Time ("ET") on July 31, 2025 and ends at the conclusion of the second NFL game in the Playoff Period ("Contest Period"). The Contest is played in connection with the 2025 NFL regular season games occurring during the Contest Period. The full NFL game schedule (which extends past the Contest Period and is subject to change by the NFL at any time) can be found at: https://www.nfl.com/schedules/. The Contest will consist of four (4) individual periods, as detailed below:

• Advertising Period:  Begins at 12:00 a.m. ET on July 31, 2025 and ends at the conclusion of the Entry Period (defined below) (the “Advertising Period”). 

• Entry Period: Begins at 12:00 a.m. ET on August 1, 2025 and ends immediately before kickoff of the first NFL game in the 2025 NFL regular season at approximately 8:20 p.m. ET on September 4, 2025 (the “Entry Period”).  No additional registrations or entries will be allowed after conclusion of the Entry Period.  Drafts will take place each week during the Entry Period.

• Regular Season Period : Begins at expiration of the Entry Period and ends immediately after the NFL regular season game scheduled on December 16, 2025 (the “Regular Season Period”), in each case subject to change as a result of changes in the 2025 NFL regular season. 

• Playoff Period: Begins at or about 12:00 a.m. ET on December 17, 2025 and ends immediately after the final NFL regular season game played on December 30, 2025 (the “Playoff Period”).  

• Championship Game: As used herein, the “Championship Game”) shall mean the second game of the 2025 NFL playoff season.  No NFL games occurring during the time between the end of the Playoff Period and the start of the Championship Game shall constitute a part of the Contest or be considered by NFL Fantasy Football or Sponsor in the calculation of scores and the awarding of any Prizes (defined below).  Further, no NFL games occurring after such Championship Game (nor any results from such subsequent NFL games) shall apply to this Contest or be considered by NFL Fantasy Football or Sponsor in the calculation of scores and the awarding of any Prizes.

The Regular Season Period and the Playoff Periods are each divided into a series of "Game Weeks." Game Weeks generally follow a seven-day Tuesday-Monday schedule, beginning each Tuesday morning at 12:00 a.m. ET and ending the following Monday evening at 11:59 p.m. ET, or at the conclusion of the last regularly scheduled game for that Monday, whichever comes first. Exceptions to this Game Week schedule may be identified by NFL Fantasy Football from time to time.  You will only receive scoring credit for NFL games that begin and are played after the draft for your Team has occurred. 

3. HOW TO ENTER THE CONTEST:

To participate, follow both of the following steps and note that a failure to complete both Step A and Step B will invalidate your eligibility and will prohibit you from entering into the Contest.  One Team per Entrant is enforced via verified email and phone number during entry.  One account per person.  Multiple accounts will result in Prize disqualification. 

A.       During the Advertising Period go to www.chubbiesshorts.com/thechubbiesleague (the “Website”) during the Entry Period and click on the Contest banners, buttons, and/or links to access Sponsor’s online entry form for the Contest (the “Sponsor Entry”). All information (your “Information”) submitted by entrants (each, an “Entrant”) in the Sponsor Entry form is subject to, and will be treated in a manner consistent with, Sponsor’s Terms of Use (accessible at https://www.chubbiesshorts.com/pages/terms-of-use) and Privacy Policy (accessible at https://privacy.chubbiesshorts.com/policies). Further, your Information may be provided to NFL Fantasy Football as part of the registration process for the Contest.  Entrants must fully complete and submit all non-optional data requested on the Sponsor Entry to be eligible.  Incomplete and/or inaccurate entries are void.  All entries must include a valid email address for the Entrant. Online Entrants to the Contest will be required to opt in to receive commercial email from Sponsor and/or mobile text messages and updates from Sponsor, but will have the right to make a privacy request pursuant to the Privacy Policy. 

B.       During the Entry Period, and only if the Sponsor Entry is fully completed during the Advertising Period as set forth in (A) above, each Entrant will receive an email containing a link mailed to the email address entered as part of the Sponsor Entry.  During the Entry Period, click on the link contained in the email and such link will take you to the Contest page of the NFL Fantasy Football website (the “NFL Website”). Once on the NFL Website, follow the directions established by NFL Fantasy Football. You will be required by NFL Fantasy Football to have or create an NFL Account. Complete your entrance into the Contest by completely entering the true and correct information on the registration form in the required fields.  Required fields are identified by NFL Fantasy Football in its sole discretion and are not determined by Sponsor or its affiliates or subsidiaries. NFL Fantasy Football will have the right to confirm information entered into the NFL Website with your Information.  NFL Fantasy Football retains all rights and liabilities in all personal and personally identifiable information collected on the NFL Website pursuant to NFL Fantasy Footballs posted Terms of Use and Privacy Policy. The NFL Website is operated and maintained by NFL Fantasy Football.  Sponsor shall have no liability for, and by entering the Contest you hereby waive all claims against Sponsor relating to, any information entered by you on the NFL Website.

You shall be responsible, at all times, for ensuring that you have an Internet connection, computer/mobile device or access to a computer/mobile device, up-to-date Internet browser versions, a functioning e-mail account, applicable software, applicable hardware, and/or other equipment necessary to access and participate in the Contest.  Sponsor does not guarantee, and makes no representations or warranties, that the Contest can be accessed: (A) on all mobile devices, (B) through all wireless service plans, (C) in connection with all Internet browsers, or (D) in all geographical areas.  Standard messaging, data, and wireless access fees may apply to your participation in the Contest through your wireless device.  Check with your mobile service provider for more information.  You are fully responsible for all such charges and Sponsor has no liability or responsibility to you, whatsoever, for any such charges billed by your wireless carrier. 

SPONSOR IS NOT RESPONSIBLE FOR ATTEMPTED CONTEST AND/OR ACCOUNT REGISTRATIONS THAT ARE LOST, LATE, ILLEGIBLE, MISDIRECTED, DAMAGED, INCOMPLETE OR INCORRECT, OR FOR YOUR FAILURE TO PARTICIPATE IN, OR COMPLETE, THE CONTEST.  IF YOU FAIL TO ENTER THE CONTEST, YOU WILL NOT BE ABLE TO PARTICIPATE IN THE CONTEST. 

By entering the Contest, you represent and warrant that you satisfy the Eligibility Requirements.  By entering the Contest, you  acknowledge and agree that other Entrants may have teams similar to the Team you create and you waive any and all claims you may have had, may have, and/or may have in the future, in connection with any other Entrant’s team that may be identical or similar to your Team.

4. RULES OF COMPETITION; SCORING:

All terms, conditions, restrictions, rules and regulations applicable to the Entry Period, Regular Season Period, and Playoff Period shall be determined by NFL Fantasy Football in accordance with its standard rules and regulations as applicable to the NFL-Managed leagues identified on the NFL Website.  Each Entrant will earn Contest points based on the performance, during the applicable period, of such Entrant’s Team, as per the specific NFL Fantasy Football scoring system and identified on the NFL Fantasy Football leaderboard (the “Leaderboard”). ALL DETERMINATIONS WITH RESPECT TO POINTS ARE MADE BY NFL FANTASY FOOTBALL IN ITS SOLE AND ABSOLUTE DISCRETION, AND WILL BE FINAL AND BINDING ON ALL PARTIES INVOLVED. Each Game Week, NFL Fantasy Football will provide the applicable scoring for each Entrant in the Contest to Sponsor via the Leaderboard. Sponsor shall have no liability to any party arising from the calculation of the scoring or from Sponsor’s reliance on the scoring provided by NFL Fantasy Football.  By entering the Contest, you expressly waive any and all claims against Sponsor as to the accuracy and/manner of scoring applied by NFL Fantasy Football and the display of scores on the Leaderboard. 

In the event of a tie in the standings of two or more Teams at the conclusion of the Contest, the tie will first be broken by identifying the Team with the stronger Regular Season record and then, if necessary, using the strength of victory of each Team in the championship game, i.e. how many points by which each tied Team won their Championship Game match.  Any and all tie-breaking determinations shall be made by Sponsor in its sole discretion. 

5. COLLUSION; PROHIBITED CONDUCT:

IT IS PROHIBITED FOR TWO (2) OR MORE ENTRANTS TO COLLABORATE DURING THE CONTEST OR TO ADOPT A STRATEGY (BEFORE OR DURING THE CONTEST) IN ORDER TO MUTUALLY GAIN AN ADVANTAGE AND/OR HARM OTHER ENTRANTS (COLLECTIVELY, “COLLUSION”).

WITHOUT LIMITING THE FOREGOING, ENTRANTS ARE PROHIBITED FROM ENGAGING IN ANY OF THE FOLLOWING ACTIVITIES (COLLECTIVELY, “PROHIBITED CONDUCT”):

• Falsifying personal information (including registration data provided on the Website or on the NFL Website) required to enter a Contest or claim a Prize (defined below);

• Intentionally choosing a lineup for your Team to guarantee the lowest scoring possible in any Game Week or in the overall Contest;

• Violating these Official Rules and/or any other terms of this Agreement;

• Using automated means (including, but not limited to, computer scripts, programs, software or other technology) to obtain, collect or access any information made available by and through the NFL Website including, without limitation, the personal information of any user for any purpose;

• Any type of abuse of special offers and/or promotions; and/or

• Tampering with the administration of the Contest or trying to in any way tamper with the computer programs or any security measure associated with the Contest.

Anti-Tanking Safeguards. Anti-tanking safeguards identified by Sponsor in its sole discretion will be enforced, including but not limited to minimum weekly lineup activity (Entrants must set a valid starting lineup each Game Week and during the Playoff Period; no inactive or bye players); starting quarterback(s) must be a starting quarterback on that day; final standings review (league admins will verify worst performance and reflect honest participation throughout the Contest Period). An effort clause will also be implemented, meaning Fantasy Flop Prize eligibility is tied to a full-season engagement standard. Finally, collusion safeguards mean trades must be approved by all teams in the division, and any suspicion of collusion will result in immediate disqualification.

Cheating, Fraud and Abuse: In accessing or participating in the Contest, you represent and warrant to us that you will not engage in any Collusion, any Prohibited Conduct and/or any activity that interrupts or attempts to interrupt the operation of the Contest, the Website, or the NFL Website. Anyone who engages in, participates in, or displays behavior that may be interpreted, in Sponsor’s sole discretion, as Collusion, Prohibited Conduct, unfair methods in participating in Contests and/or misusing the Website or the NFL Website including, but not limited to, the opening and/or use of multiple NFL Accounts, the use of unauthorized or altered software or hardware to assist play (e.g., scripts, bots, bot nets, and collusion with bots), intentionally poor play in the Contest to achieve competitive advantage, Collusion with or harassment of other entrants, breach of this Agreement, or any other act (whether through the use of automated technology or otherwise) that unfairly alters an entrant’s chance of winning or constitutes the commission of fraud (collectively, “Abuse”), will be subject to immediate sanctions (as determined by Sponsor in its sole discretion), which may include, without limitation: (a) immediate termination and blocking of access to the Contest; (b) any Prizes that the applicable Entrant may otherwise have been entitled to receive shall be void and forfeited; and (c) any Prizes received by the applicable Entrant shall be subject to disgorgement and/or recoupment. In addition to the foregoing, Sponsor reserves the right to disclose or report any illegal activity to law enforcement and regulatory authorities. Without limiting our other available remedies, Sponsor may institute or seek any injunctive relief, civil and/or criminal proceedings against any Entrant and/or any co-conspirators arising out of or related to the commission of Abuse including, without limitation, recovering all of our fees and expenses (including reasonable attorneys’ fees) in connection with such efforts.

6. PRIZES/PRIZE RESTRICTIONS:

A total of 98 prizes (each, a “Prize”) will be awarded during the Contest. 

·      Regular Season Game Week Prizes.  Eight-Five (85) “Game Week Prizes” will be awarded, five (5) per Game Week, one (1) to each of the Entrant’s owning the top five (5) scoring Teams in the applicable Game Week, each consisting of a Chubbies® brand polo shirt and Chubbies® brand shorts combination of the Potential Winner’s (defined below) NFL team of choice, sizing subject to availability, each such Game Week Prize with an approximate retail value (“ARV”) of $159.00 and aggregate ARV of all Game Week Prizes of $13,515.

·      Chubbies® PTO Prize.  At the end of the Regular Season Period, one (1) “Chubbies® PTO Prize” will be awarded to the Entrant owning the Team with the most points scored, consisting of (i) round-trip coach air transportation for Winner and one (1) guest from a major airport near Winner’s home, as determined by Sponsor in its sole discretion, to Miami, Florida (provided, however, that in the event Winner lives one hundred (100) miles or less from MIA, no air transportation will be provided and Sponsor shall have the right to provide Winner with ground transportation instead); (ii) standard hotel accommodations (single room, double occupancy) at a resort selected by Sponsor in its sole discretion, in each case with the aggregate value of (i) and (ii) together not to exceed $7,000 (the “Travel Cap”) and the length of (i) and (ii) to be determined by Sponsor in its discretion subject to the Travel Cap; (iii) a Three Thousand Dollar ($3,000) Chubbies® gift card for use by Winner to purchase Chubbies® brand clothing for the trip, sizing subject to availability; and (iv) two (2) game tickets (the “2026 NFL Tickets”) to a 2026 regular season NFL game selected by the Winner (maximum aggregate value of $1,500 (the “Ticket Cap”)), subject to the Ticket Cap, availability and blackout dates; transportation with respect to this clause (iv) and the 2026 NFL Tickets not included. For clarity, Sponsor will not be responsible for any lost wages resulting from Winner’s (or Winner’s guest’s) utilization of the Chubbies® PTO Prize.  No food or beverage shall be provided by Sponsor in connection with the Chubbies® PTO Prize and no transportation, room and board, food, or other expenses shall be provided by Sponsor in connection with the 2026 NFL Tickets.  The 2026 NFL Tickets date must be selected by Winner on or before August 1, 2026 or the NFL Tickets portion of the Chubbies® PTO Prize will be forfeited.  Further, travel to Miami, Florida must be taken between February 1, 2026 and December 31, 2026 or the Chubbies® PTO Prize will be forfeited and Sponsor will have no further obligation to such Winner. ARV of the Chubbies® PTO Prize is $11,500.

·      Chubbies® x NFL Prize.  At the end of the Regular Season Period, ten (10) “Chubbies® x NFL Prizes” will be awarded, one (1) to each of the Entrants owning the Teams with the second through (and including) eleventh most points scored during such Regular Season Period, each consisting of (i) the full Chubbies® x NFL collection of the NFL team of such Winner’s choice (value not to exceed $293 each), individual pieces included in the collection and the Chubbies® x NFL Prize determined by Sponsor in its discretion and sizing subject to availability, plus (ii) a Five Hundred Dollar ($500.00) Chubbies® gift card for use on Chubbies.com and/or at Chubbies® retail store locations.  ARV of each Chubbies® x NFL Prize is $893, aggregate ARV of all Chubbies® x NFL Prizes is $8,930.

·      Ultimate NFL Fan Experience Grand Prize.  One (1) “Grand Prize” will be awarded to the Entrant with the Team holding the highest aggregate score at the end of the Contest, consisting of all-expenses paid trips for Winner and a guest including (i) two (2) game tickets to each of five (5) different 2026 regular season NFL games occurring in the continental United States (the “Grand Prize Games”) chosen by Winner, subject to availability and blackout dates and with the location of the seats for each of the Grand Prize Games determined by Sponsor in its discretion, with a maximum aggregate ticket cost for all Grand Prize Games of $10,000; (ii) round-trip coach air transportation for Winner and a guest from a major airport near the Winner’s (but not the guest’s) home, as determined by Sponsor in its sole discretion, to the nearest major airport to the applicable chosen Grand Prize Game (provided, however, that in the event Winner lives one hundred (100) miles or less from the NFL stadium(s) hosting the applicable Grand Prize Game, no air transportation will be provided and Sponsor shall have the right to provide Winner with ground transportation instead), with a maximum aggregate travel cost to all Grand Prize Games of $8,000; (iii) standard hotel accommodations for one (1) night (single room, double occupancy) at hotel(s) located near the stadiums hosting the Grand Prize Games, in each case selected by Sponsor in its sole discretion, with a maximum aggregate hotel cost for all Grand Prize Games of $2,250; (iv) food, beverage (excluding alcoholic beverages) and game-day swag at each of the Grand Prize Games, with the quantity and choice of menu and swag items selected by Sponsor in its sole discretion, at a maximum aggregate cost for all Grant Prize Games of $5,000 (alcohol not included); (v) the full Chubbies® x NFL collection of the NFL team of Winner’s choice (value not to exceed $293), individual pieces included in the collection and the Chubbies® x NFL Prize determined by Sponsor in its discretion and sizing subject to availability; and (vi) Chubbies® shorts for life _(_maximum of ten (10) years, provided to Winner as a $500 a year Chubbies® credit for use on Chubbies.com and/or in Chubbies® retail stores, with any unused credit not rolling over from year to year and not available at the expiration of such ten (10) year period).  Grand Prize Games must occur during the NFL 2026 regular season (excluding, for the avoidance of doubt, any playoff or Superbowl games occurring after the conclusion of the 2026 regular NFL season), and Winner’s selection of the desired Grand Prize Games must be completed no later than June 15, 2026 or the Grand Prize will be forfeited and Sponsor will have no further obligation to such Winner. The ARV of the Grand Prize is $30,543.

·      Fantasy Flop Prize.  One (1) “Fantasy Flop Prize” will be awarded to the Entrant with the Team holding the lowest aggregate score at the end of the Contest, consisting of (i) a photo shoot in a Chubbies® swim brief at a location in the continental United States to be determined by Sponsor in its sole discretion and subject to change (the “Flop Photos”); (ii) round-trip coach air transportation for Winner only from a major airport near the Winner’s home, as determined by Sponsor in its sole discretion, to the nearest major airport to the Flop Photo location (provided, however, that in the event Winner lives one hundred (100) miles or less from the location of the Flop Photos, no air transportation will be provided and Sponsor shall have the right to provide Winner with ground transportation instead); and (iii) standard hotel accommodations for one (1) night (single room, single occupancy) at a hotel located near the Flop Photos location, selected by Sponsor in its sole discretion and subject to change.  Food and beverage not included in the Fantasy Flop Prize.  Travel for the Fantasy Flop Prize must be taken between February 1, 2026 and December 31, 2026 or the Fantasy Flop Prize will be forfeited and Sponsor will have no further obligation to such Winner. The ARV of the Fantasy Flop Prize is $8,000.

The ARV of all Prizes available in the Contest is $72,488.

PRIZE RESTRICTIONS: All Prizes must be accepted “as is” without further warranty of any kind and are subject to the terms and conditions identified by Sponsor.  Actual value of each Prize depends on various factors, including the location of the Winner’s residence. Any difference between the estimated ARV and the actual value of a Prize will not be awarded.  The Prize(s) must be accepted as awarded and cannot be transferred, assigned, substituted, or redeemed for cash, except at the sole discretion of Sponsor.  Winner is responsible for any transportation not specifically noted in these Official Rules. Winner is responsible for obtaining all necessary travel documents, including government-issued photo identification prior to travel. Certain restrictions, as determined by Sponsor, may apply. When included in the Prize, Sponsor will attempt to accommodate Winner's preferred itinerary, but all specifics thereof will be at Sponsor's discretion. If Winner cannot comply with these restrictions or any other portion of these Official Rules, the Prize will be forfeited in its entirety and an alternate winner may be chosen, if time permits. Winner must travel from major airport closest to Winner’s residence, as determined by Sponsor, in its sole discretion. In the event Chubbies® PTO Prize winner lives within 100 miles of MIA airport, ground transportation only (in lieu of air transportation) will be provided to and from the hotel, in Sponsor's sole discretion. Further, in the event (i) the Grand Prize Winner lives within 100 miles of the stadium hosting the applicable Grand Prize Game, ground transportation only (in lieu of air transportation) will be provided to and from the applicable Grand Prize Game, in Sponsor’s sole discretion and (ii) the Fantasy Flop Prize Winner lives within 100 miles of the location of the Flop Photos (to be determined), ground transportation only (in lieu of air transportation) will be provided to and from the Flop Photos, in Sponsor’s sole discretion.  Travel arrangements must be made through Sponsor's agent, on a carrier of Sponsor's choice and trip must be taken on the dates of the Sponsor's choosing and surrounding the events. If Winner cannot travel on the dates specified by Sponsor, the applicable Prize will be forfeited in its entirety and such Prize may be awarded to an alternate Winner selected from among all remaining eligible Entrants in the manner described above, if time permits. Flight details are subject to availability and airline carrier's regulations and conditions apply. The applicable trip may not be combined with any other offer and travel will not qualify for frequent flyer miles. Contest Parties are not responsible for lost or mutilated tickets and none will be replaced. Airline tickets are non-refundable, non-transferable, and are not valid for upgrades. The hotel accommodations, airline tickets and ground transportation will be determined at the sole discretion of Sponsor. If any portion of any Prize is not available for any reason then the Sponsor reserves the right to substitute that portion of the Prize with another prize of comparable or greater value. When applicable, Winner’s guest must complete and return a publicity and liability release at the same time the Winner Declaration is returned. All federal, state and local taxes and any other costs and expenses associated with Prize acceptance and use not listed herein as part of the Prize including, without limitation, ground transportation (other than that specified above as included in the applicable Prize), luggage fees, souvenirs, miscellaneous hotel expenses, and gratuities are the sole responsibility of the applicable Winner. Winner(s) will be contacted to coordinate Prize fulfillment approximately three (3) to four (4) weeks after the end of the Contest or as soon thereafter as reasonably practicable. Alcohol is not part of any Prize. No more than the stated number of Prizes will be awarded.

7. WINNER NOTIFICATION/GENERAL PRIZE CONDITIONS:

Potential winners will receive notification from Sponsor via email within three (3) days of end of the Contest Period or as soon thereafter as reasonably practicable. As part of the winner notification process, each potential winner will be required to complete and submit a declaration of eligibility/release of liability/prize acceptance agreement ("Declaration"), within three (3) calendar days from the timestamp of notification, as a condition of receiving the Prize. If a potential winner fails or refuses to sign and return the Declaration within the required time period or if the Declaration is returned as rejected, faulty, unclaimed or returned as undeliverable to a potential winner, and/or a potential winner is otherwise noncompliant, such potential winner will be disqualified and the potential winner shall be the Team with the next-highest scores (assuming that sufficient time remains prior to the Prize trip dates, if applicable). Prizes will only be awarded by Sponsor upon potential Winners’ verification of eligibility and final approval by Sponsor. Sponsor reserves the right to perform a detailed background check on the potential winner and determine whether each potential winner passed the background check to Sponsor's satisfaction, as determined by Sponsor in its sole discretion. By entering the Contest, you hereby authorize Sponsor to perform the background check(s) in the event that you are selected as a potential winner. The potential winner then and only then becomes the "Winner" and is eligible for the applicable Prize. If a Winner cannot be confirmed by January 5, 2026, such Prize will remain un-awarded. Sponsor is not responsible if all or any portion of any Prize cannot be fulfilled due to COVID-19 or any related public health conditions, cancellation, illness, conflict, or any other event or circumstance outside Sponsor's reasonable control. In such event, Sponsor reserves the right to substitute a Prize with one of comparable or greater value, in its sole discretion.

8. GENERAL:

Each Winner hereby expressly grants to the Contest Parties and their respective designees all rights to use and publish his/her name, likeness (photographic or simulated), voice, and place of residence for all purposes, including without limitation, advertising, marketing, promotional and publicity purposes in connection with this Contest ("Advertising"), in any and all media now or hereafter devised, worldwide in perpetuity, without any form of notice or any amount or kind of compensation or permission, except where prohibited by applicable law. All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and each participant hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each Winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of such winning recipient's name, likeness or voice under contract, tort or any other theory of law. Entrants and Winner(s) acknowledge that Sponsor may transfer their personal information (including name, telephone number, postal and e-mail address, and age) to third-party agents and service providers of Sponsor in connection with any of the activities listed above. Entrants and Winners acknowledge and agree that their personal information may be processed or stored inside or outside the United States or by its third-party agents and service providers.  Sponsor may share Entrant’s personal information and may use the same in a manner that is consistent with Sponsor’s stated Privacy Policy.  Neither Sponsor nor the Contest Parties assume any responsibility for any disruption in the Contest, including but not limited to the failure or interruption of any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In no event will any Winner be entitled to more Prizes than those identified in these Official Rules. All federal, state, and local laws and regulations apply. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of the Contest Parties and may be changed from time to time without notice. Sponsor's failure to enforce any provision of these Official Rules does not constitute to waiver of same. Sponsor and the Contest Parties reserve the right to cancel or modify the Contest at any time without notice. A potential Winner may be requested to provide Sponsor with proof that the potential Winner is the authorized account holder of the email address associated with their entry. If, in Sponsor's sole determination, a dispute cannot be resolved, your entry in the Contest will be deemed ineligible. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, garbled, or corrupted are void and will not be accepted.

9. CONDUCT:

By participating in this Contest, you agree to be bound by these Official Rules and the decisions of Sponsor and the Contest Parties, which shall be final, binding and non-appealable in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor and the Contest Parties reserve the right at their sole discretion to disqualify any individual found to be tampering with the participation process or the operation of the Contest, or to be acting in any manner deemed by the Contest Parties to be in violation of the Official Rules, or to be acting in any manner deemed by the Contest Parties to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person and void all associated entries and/or registrations.

10. RELEASES:

All participants, as a condition of participation in this Contest, agree to release, hold harmless and indemnify Sponsor and the Contest Parties from and against any and all liability, claims, damages, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with (i) participation in any aspect of the Contest, including any injury or medical condition sustained as a result of participating in any related travel or activity, (ii) the receipt, ownership or use of the Prize awarded, including any travel associated with any Prize (as expressly identified in these Official Rules), (iii) participant's registration material on any related website, or (iv) any typographical or other error in these Official Rules.

11. CHOICE OF LAW AND JURISDICTION:

Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrants, Winners, and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Texas or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the State of Texas. Any action seeking legal or equitable relief arising out of or relating to the Contest or these Official Rules shall be brought only in the courts of the State of Texas. You hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum nonconveniens or lack of personal jurisdiction you may otherwise.

12. TAX INFORMATION:

All federal, state, local, and other taxes on prizes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the applicable Winner. A 1099 tax form (preceded by a W9 Form) will be issued to each of the Winners.
